General Terms and Conditions of Sale

These general terms and conditions of sale are concluded between:

– On the one hand: SARL GLUME with a share capital of €1,000, registered with the Bordeaux Trade and Companies Register under RCS number 911 140 689, whose registered office is located at: 22 rue de l’Oregon, 33600 PESSAC, hereinafter referred to as ‘the seller’, as the owner and administrator of the website www.airbanana.fr

ET

– On the other hand: any natural or legal person wishing to make a purchase via the website www.airbanana.fr, hereinafter referred to as ‘the buyer’.

1 – OBJECT

The purpose of these general terms and conditions of sale is to:

  • Inform the buyer about the terms and conditions of sale and delivery of the products made available online on the website www.airbanana.fr
  • Establish the rights and obligations of each party following a purchase on the website.

By confirming their order, the buyer accepts and agrees without reservation to these terms and conditions of sale.

The seller reserves the right to revise and modify these terms and conditions. However, the version of the general terms and conditions of sale applicable to an order is the one available online at the date and time of the buyer’s order confirmation.

2 – PRODUCTS AND SERVICES

The products and services concerned are those listed in the catalog made available online by the seller.

If a product is unavailable in the seller’s stock and is discontinued by a supplier, the seller agrees to provide the buyer with a product of equivalent quality and price, or, at the buyer’s request, may also refund the amounts paid and cancel the order.

The photographs and layouts of the products are those provided by the manufacturer and are given as indicative information by the manufacturer or supplier of the product. Under no circumstances can the seller be held responsible for any errors. The product photographs are as representative as possible but cannot guarantee a perfect resemblance. Thus, the photos and visual descriptions do not constitute a contractual commitment as they are subject to modifications without notice from the suppliers.

3 – PRODUCT AVAILABILITY

The products offered on the website are generally in stock and will be shipped within a period of 1 to 7 days.

In case one or more products in an order are unavailable, the seller agrees to communicate the restocking delay announced by their supplier via email.

The buyer may then confirm or not confirm their order. If the buyer decides to proceed, a partial shipment may be carried out**, and the remaining items will either be delivered later, replaced, or fully refunded. In any case, if the buyer chooses to cancel the order, it will be without any charges. (**) A partial delivery may be offered if the total amount of the order exceeds €100 including VAT, for metropolitan France only (excluding Corsica); heavy or bulky items are excluded.

If the buyer opts for a refund, the seller will execute the refund of the amounts paid by the buyer as soon as possible and no later than within 72 hours.

4 – PRICES

4.1 Product Prices

The prices of products displayed on the website are expressed in Euros and include all applicable taxes as of the order date.

The applicable price for a product is exclusively the one shown on the product page. If a different price appears in a newsletter, on another site than www.airbanana.fr, or elsewhere on the website, the price on the product page shall prevail. The displayed product prices do not include shipping fees.

The applicable price is the one corresponding to the date the order is confirmed by the customer.

4.2 Shipping Fees

WARNING: Free shipping does not apply to deliveries outside mainland France or for products requiring a specific carrier due to their size or weight.

4.3 Customs Duties & Local Taxes

For shipments outside mainland France (including Corsica), customs duties and local taxes may apply upon delivery of the order or part of the order. These additional fees are calculated and billed locally by the customs or administrative services of the delivery country chosen by the buyer. These additional fees issued and billed by customs or administrative services, which are beyond the seller’s control, are – when applicable – the sole responsibility of the buyer.

4.4 Price Variations

Certain prices may differ for a limited time during promotional events. Other prices may also change over time depending on the seller’s pricing policy or negotiations with suppliers.

These variations can under no circumstances lead to a refund for an order or product confirmed outside the promotional period, for example.

5 – ORDERS

5.1 Buyer’s Capacity

The buyer places their order on the site following the process in effect on the website.

Only individuals with the legal capacity to enter into contracts are authorized to confirm an order on the website.

5.2 Buyer’s Registration

A buyer wishing to purchase a product or service via the website for the first time must register as a site customer. They must agree to provide the following information:

– First and last names

– Postal address

– Email address

– Phone number

5.3 Order Establishment

To properly establish an order, the buyer must select the product(s) and service(s), specifying their choice as much as possible, for example: reference, dimensions, color, etc.

The buyer must also specify the payment method they intend to use and provide the most precise possible delivery address (building, floor, access code, contact person for receipt) with a phone number that will be communicated to the carrier if an appointment is required.

5.4 Order Validation

Validating the order implies buyer acceptance of these general terms and conditions and confirms their legal capacity to contract.

After verifying the information on the order form (total amount, addresses, etc.) and correcting any errors, the order form must be validated:

– By validating the secure payment by credit card via the virtual payment terminal

6 – PAYMENTS

To pay for their order, the buyer has the following payment methods:

  • By credit card via a secure remote virtual payment terminal operating in SSL mode.

For credit card payments, the transaction is immediate.

In the case of partial shipping with remaining items as per the buyer’s request, the full amount of the order will be charged. Indeed, only one debit can be made per transaction.

The seller reserves the right to cancel or suspend any order in case of non-payment of part or all of the sums owed to the seller.

IMPORTANT: When paying via the virtual terminal, no bank data is transmitted to the seller; therefore, it is neither stored nor saved by them.

7 – TRANSFER OF OWNERSHIP

The goods remain the seller’s property until they have been paid for in full by the buyer.

8 – DELIVERIES

The order will be delivered to the delivery address specified during the ordering process. The buyer assumes the risk of transporting goods from the moment they leave the seller’s warehouse.

IMPORTANT: It is strongly recommended that the buyer unpack and inspect the condition of the product(s) in the presence of the carrier to make specific notes on damages or refuse the package if the product is damaged. Otherwise, the insurance cannot apply, and no exchange or partial/total refund can be made. The seller advises the recipient to retain the delivery receipt, especially if notes were made on any damage. This document is essential in the event of damage attributable to transport.

In case of expressing reservations about the delivery of one or more parcels, the buyer must send a registered letter with acknowledgement of receipt within 72 hours from the delivery date. This letter must specify the reason and details of the reservations mentioned.

The seller reserves the right to modify the chosen delivery method if the prepared parcel(s) do not comply with the carrier’s original requirements selected by the buyer during the order. In such cases, the buyer will receive an email from the carrier indicating the pickup and routing of the parcel(s).

9 – WARRANTIES & AFTER-SALES SERVICE

In accordance with current legal provisions, the products benefit from a legal warranty under the Consumer Code.

Each marketed product, as provided by the Civil Code, also benefits from a legal guarantee against defects and hidden flaws that would render the product unsuitable for use.

WARNING, no guarantee shall apply in case of improper use of the product, modifications not expressly approved by the seller (in writing), or external interventions by persons not authorized by the manufacturer.

IMPORTANT, any return must first be agreed upon with the product seller. After contacting the product return service (contact details at the bottom of this document), the product will be assigned a return number, and the buyer will receive a product return slip that must be included with the return. Return shipping costs are the responsibility of the buyer.

If the returned product is found to be without defect and in perfect working order, administrative and labor fees may be applied. In such a case, reshipping costs will also be charged.

Any product returned without this agreement and the return slip will be refused by the seller and sent back to the buyer.

10 – WITHDRAWAL & PRODUCT RETURN

10.1 Right of withdrawal

The buyer has a period of 14 clear days (instead of 14 days as per Article L 121-20 of the Consumer Code) from the date of receipt of the product to return the ordered products to the seller.

Any product return following a right of withdrawal will be at the buyer’s expense and must strictly adhere to these principles:

–          Be in perfect resale condition

–          Be returned with its original packaging in perfect condition and with all parts delivered with the product (instructions, accessories, etc.)

–          Follow the return procedure described below

WARNING, in accordance with Article L121-20-2 of the Consumer Code, the right of withdrawal will not apply to the following products or services:

–          Specific products that are highly customized by the buyer (special colors, engravings, etc.).

IMPORTANT, No product return under the right of withdrawal will be accepted if it does not meet these conditions. For this reason, the seller strongly encourages the buyer to handle the product and its packaging with the utmost care. If the packaging is damaged, a depreciation of up to 10% of the product’s new value including taxes may be applied to the credit or refund of the product.

10.2 Product return procedure

Products can be returned if they present a conformity defect, a hidden flaw, or under the right of withdrawal.

The products must be returned to the product return service whose contact details are found at the end of these general terms and conditions of sale.

For the exercise of the right of withdrawal, return costs are the responsibility of the buyer, who must specify whether they wish for a product exchange, a credit voucher for use on the website’s catalog, or a refund.

A return request can be initiated in advance by the buyer specifying whether they wish to receive a credit voucher for the website, a refund, or a product exchange. This procedure aims to expedite the processing of the case.

11 – LIABILITY

The seller is bound by an obligation of means and is committed to the proper execution of the order. However, the seller cannot be held liable for the partial or total non-execution of the order in the event of force majeure, reasons attributable to the buyer, or one or more unforeseeable and insurmountable events.

The seller cannot, under any circumstances, be held liable in cases of improper use of a product or service by the buyer.

IMPORTANT, In the event of incompatibility of the product or equipment, the seller cannot be held responsible, and no compensation or reimbursement can be made outside the exercise of the right of withdrawal.

In all cases, the seller’s liability will be limited to the total amount including taxes of the order.

12 – PERSONAL DATA

In accordance with current regulations, particularly the law ‘Informatics & Liberties’ of January 6, 1978, the customer is informed that some of their personal data is necessary for the processing of orders placed on the website.

The seller reserves the right to collect and share certain information with its business partners.

Of course, the buyer or any other person who has provided personal information to the seller has the right to rectify, access, and oppose the disclosure of this information.

At any time, a request to modify or delete this data can be made by writing via email or postal mail to the seller’s customer service department, whose contact details are found at the bottom of these general terms and conditions of sale.

13 – INTELLECTUAL PROPERTY

The website www.airbanana.fr and all its content remain the property of the seller.

Any reproduction, partial or complete, by the buyer or any other person is not authorized.

Any link to the website (simple or hypertext) is not authorized without the express written consent of the seller.

14 – ARCHIVING AND EVIDENCE

The seller will retain copies of purchase orders and invoices on a reliable medium in accordance with the provisions of the Civil Code.

These elements may be considered as evidence in the event of a dispute between the parties to this contract.

15 – DISPUTES, MEDIATION, APPLICABLE LAW, AND JURISDICTION

15.1 Mediation Service

In the event of a dispute between the professional and the consumer, they will strive to find an amicable solution.

If no amicable agreement is reached, the consumer can freely refer the matter to the consumer mediator relevant to the professional, namely the European Mediators Association (AME CONSO), within one year from the written complaint addressed to the professional.

15.2 Applicable Law and Jurisdiction

These terms and conditions of sale are subject to French law.

Any dispute regarding the interpretation, execution, or termination of the contract will be subject to the competent court as required by common law.
